Accenture LLP has multiple openings for the Contracting Counsel, Manager position in Chicago, IL to draft, review and negotiate several types of contractual agreements, which requires advanced experience in complicated technology agreements. S/he will perform the following duties: provide on a daily basis assistance to different client accounts within Accenture and ad-hoc support for new upcoming client accounts; provide IT industry experience in intellectual property, technology delivery methodologies and data privacy and IT data security; review, draft and negotiate master services agreements, outsourcing and consulting agreements, subcontracts, software licenses, software as a service, IT platform as a service and IT infrastructure as a service agreements along with service level agreements; coordinate with other Accenture subject matter experts, to help company professionals to identify, address legal and business issues, including tax, employment law, regulatory compliance, and cross border issues; strategize with company executives prior to client negotiations and structure transactions to be most advantageous to the company from a contracting and business perspective; create and lead training for other legal professionals and Accenture internal business, develops internal guidelines, toolkits, and packaged knowledge capital on various legal and business issues; and educate company professionals in regard to contracting and risk management issues.
This position is based in Chicago, IL, but the position requires domestic travel up to 25% of the average work week.

This position requires at least a juris doctor degree, or its foreign equivalent, or in a closely related field. Please note that this position does not require admission to U.S. jurisdiction. This position requires 5 years of progressively-responsible post-baccalaureate experience as an transactional attorney, technology IP attorney, or in a related legal position. This position also has the following professional experience: 3 years of experience in drafting and negotiating technology agreements; 3 years of experience in IT industry, including legal aspects of data privacy, data security, application and business process outsourcing services and consulting services; 3 years of experience in reviewing, drafting and negotiating master services agreements, outsourcing and consulting agreements, subcontracts, software licenses and SaaS/PaaS/IaaS agreements; 5 years of experience preparing strategies for client negotiations and client transactions; 5 years of experience developing internal guidelines and toolkits to draft/amend a contract or checklist for client proposals; and 5 years of experience training company legal and business professionals in regard to contracting and risk management issues.
