The Opportunity

Hyatt Hotels Corporation seeks a talented paralegal to join our Legal department, where you will work on a global team of 50 legal professionals who are valued partners of the business in helping achieve strategic priorities. The Role

As Real Estate Coordinator you will play an integral role on the legal transaction team. You will assist and support all asset management, development (new management agreement and franchise agreements), and existing management agreement and franchise agreement transactions within the Americas (US, Canada, Mexico, Latin America, and the Caribbean) of Hyatt. This includes the support of attorneys and senior paralegals on document drafting and preparation, complex commercial transactions, legal research, etc.

At Hyatt, paralegals are relied on for their expertise and follow-through, providing insights into process improvements, conducting compliance research, and interacting with internal clients and outside counsel. This role also must effectively manage multiple projects and deadlines with strong communication skills.

Below are examples of representative matters for this position:

-Draft and negotiate confidentiality agreements in connection with new hotel management agreements, franchise agreements, hotel acquisitions and sales, and other transactions.

-Coordinate with outside and in-house counsel for the negotiations of hotel leases, licenses, parking agreements, food and beverage agreements, and similar agreements.

-Assist attorneys with hotel sales and acquisitions, gather property-related information for due diligence investigations, organize such information and the internal review of such information, maintain a checklist for the transaction and follow up on the status of items, and compile and ensure internal confirmation of schedules to contracts.

-Corporate and joint venture maintenance.

-Initial drafts of commercial contracts, including hotel management agreements, technical services agreements, and amendments related thereto.

-New Owner due diligence (including background checks and review of Owner governing documents and site control documents).

-Transitions of hotel ownership and assignment of hotel management agreements and franchise agreements, and the documentation related thereto.

-Work with outside counsel on Construction contracts for Hyatt-owned hotels, third-party-owned hotels, and joint venture hotel projects.

-Review formal notices from owners and third parties to the General Counsel notice email and distribute responsibilities within the department and file such notices.

-Update legal database summaries of key legal documents.

-Maintain checklists, matter lists, and similar lists of ongoing matters; maintain forms and clause databases for the legal team.

Qualifications:

Experience Required:

-Minimum of 4 or more years of experience as a paralegal or similar role in a law firm or corporate legal department including significant experience in one or more of the following practice areas: real estate transactions, contract negotiation, leases, licenses, commercial contracts, or a related area.

-Ability to manage important functions with minimal oversight

-Strong interpersonal and collaboration skills

-Proven, in-depth knowledge of legal terminology and principles

-Excellent written and oral communication skills

Experience Preferred:

-Paralegal certification program

-Prior hospitality or other service industry experience
