A DAY IN THE LIFE

Reporting into the Chief Strategy Officer, who has enterprise responsibility for M&A and Corporate Development, this position will play a key role in driving inorganic and organic growth in conjunction with our Executive Team and business leaders. Since 2012, Montrose has completed 68 strategic acquisitions, enabling us to advance on our strategy of being the leader in integrated environmental solutions. We strive to increase shareholder value through execution of inorganic opportunities that are a strategic fit for Montrose.

We are looking for a high-impact, well-rounded Director of M&A who is comfortable thinking at the 100,000-foot altitude level as well as delving into the details of deal mechanics and post-merger success. In this role, you will partner with all levels of the organization within and outside of the organization, including other corporate functions, our operational business lines, sellers and advisory firms, to drive execution of Montrose's North America M&A strategy. This role offers the opportunity for enterprise-level impact and exposure to various parts of the business through a range of M&A activities. The ideal candidate will have transaction execution experience and have demonstrated the ability to influence at the most senior levels of an organization. Ideally, this role will be based in either Miami, FL or Irvine, CA. You should expect and be motivated to travel as needed to meet with sellers, advisors and/or internal Montrose teams.
  • Partner with the senior leadership team to:
    • Drive build-out of concept and capability M&A pipeline as well as key operational metrics and reporting related to sourcing activity (e.g., companies of interest, interactions/conversations, banker meetings)
    • Assess other strategic opportunities to drive shareholder value, provide the organization access to new and innovative technologies and capabilities, and/or advance the organization's ESG ambitions
    • Develop and document "outside-in" understanding of market landscape, industry trends, competition, whitespace opportunities, target segments, and emerging companies (e.g., calendar of key conferences, portfolio/theme conversations with banks/consultants, competitive analysis, etc.)
  • Depending on deal size and complexity, lead, support and/or coordinate key aspects of deal sourcing and execution (e.g., due diligence, management meetings, integration planning, valuation/ROI/payback, etc.)
  • Develop presentations, term sheets, analyses, etc. for the executive leadership team, Board of Directors, and other key stakeholders.
  • Coach, mentor and/or serve as a positive role model for more junior M&A team members and members of other close internal partner teams
  • Facilitate information and know-how sharing within the M&A team and broader organization, enhancing Montrose's overall M&A capability, institutionalizing knowledge and decreasing key-person risk
  • Support integration activities of transactions that have closed to ensure the successful integration of the business into Montrose
  • Manage all operational tools and key vendor contracts
NECESSARY QUALIFICATIONS
  • Bachelor's degree required in Finance, Accounting, Business, or related field
  • 7+ years of M&A execution experience in large corporate, investment bank, or private equity firms
  • 3+ years leading cross-functional teams and managing complex projects
  • Demonstrated experience and success with M&A transactions throughout the entire M&A lifecycle, including landscape analysis, pipeline development, strategic due diligence, transaction management and integration, financial transactions, corporate and business strategy
  • Exceptional EQ, business intuition, influencing and negotiation skills
  • Knowledge of federal, state, and local laws/regulations surrounding M&A
  • Ability to partner with, present to, influence all management levels
  • Ability to work effectively under pressure and in ambiguous situations
  • Expert verbal and written communication
  • Willingness and ability to handle multiple and competing priorities across different time zones and global teams
  • Proficient in full Microsoft Office Suite and comfortable with financial research tools
PREFERRED QUALIFICATIONS
  • Certified Public Accountant (CPA) or Chartered Financial Analyst (CFA) certification
  • Financial analysis capabilities, including clear and thorough understanding of financial modeling, valuation techniques, and financial statement analysis
  • Prior M&A experience
