Old National's Legal and Government Relations Department is seeking an attorney with strong academic credentials and professional experience capable of providing legal advice and business guidance on a variety of corporate, public company and securities law matters. The primary responsibility for this role is to assist with our general corporate legal needs, including securities matters, corporate governance, board and committee activities, merger and acquisition transactions, subsidiary matters, general contract review and more. Experience with financial institutions is preferred but not required.

Job LocationWe are an in-office working environment. The members of our Legal and Government Relations Department are primarily located in our Chicago (near O'Hare Airport) and Evansville, Indiana offices. Our preference is for the attorney to be located in one of these two offices. Other potential office locations where this attorney may be located include Old National offices in cities inside our primary footprint are possible (Indianapolis, Milwaukee and Minneapolis). This position's manager is located at the Chicago office.
Qualifications And Education Requirements
Minimum of 3-5 years' experience practicing law
Admitted and in good standing in the bar of at least one of the following states: Illinois, Indiana, Kentucky, Michigan, Minnesota or Wisconsin. Preference will be given for the candidate to work in our Chicago, IL or Evansville, IN offices.
Ability to apply sound and practical business judgment to legal matters
Ability to consult with and advise management at all levels
Strong written, oral and interpersonal communication skills
Ability to work within a team environment
Desired Experience
Knowledge of corporate and federal securities laws, rules and regulations
Understanding of merger and acquisition transactions and processes
Understanding of reports and processes for boards of directors
Experience at a major law firm or in-house legal department of a medium or large financial institution or public company
Background experience in the banking industry preferred but not required
Experience in one of more of the following areas also is desirable but not required: (1) intellectual property matters, (2) environmental, social and governance trends and activities, (3)corporate insurance; and (4) executive compensation generally
Essential Duties and Responsibilities Include
Work on various general corporate and public company/SEC matters
Prepare, review and file proxy statements, reports (including 10-Ks, 10-Qs, 8-Ks and Section 16 reports) and registration statements with the SEC
