Your Role
The Senior Paralegal, Corporate Governance & Licensing, is a meaningful member of the Kidney Co Corporate Legal team helping to deliver consistent, accurate and timely service while aiming to find opportunities for improvement and increased efficiencies. This position reports directly to the Deputy General Counsel, Corporate & Corporate Secretary, and is responsible for providing support with respect to corporate governance matters, including leading a large global legal entity structure, as well as supporting the US Regulatory Law team in staying in sync with state licensing requirements. This position will be based in Deerfield, Illinois.What You'll Be Doing
Primary responsibility of legal entity management system including regular interaction with vendor to address issues and lead all aspects of training needs for users throughout the organization.
Lead Kidney Co's corporate structure in the US, including legal entity formation, merger and dissolution processes, and general subsidiary maintenance.
Collaborate with regional attorneys and paralegals on global corporate governance matters and ensure that legal entity management system is kept up to date.
Prepare and review forms, reports, and applications in accordance with state regulations and requirements under the supervision of the assigned attorney.
Draft and review legal documents related to entities, including formation documents, board and shareholder meeting minutes, secretary's certificates, and other compliance documentation.
Support transaction-related corporate governance matters including drafting and performing written consents, secretary certificates, obtaining good standing certificates, etc.
Develop a knowledge of relevant laws, regulations, rules, and procedures and conduct legal research from time to time.
Apply substantial analytical skills regarding various rules and regulatory requirements to ensure that regulatory filings and reports are properly handled and administered.
Support the legal team in the development of discrete legal strategies for business units/functions.
Provide other legal and administrative support to the attorneys in Corporate Legal and Regulatory Law groups.What You'll Bring
General understanding of legal environment and resources.
Experience in multinational entity management.
Experience in gathering and compiling data for reporting to various government agencies.
Experience in assisting lawyers in developing and leading policies and trainings to educate the business and function on key legal issues.
Experience in researching laws, gathering data, and preparing documents to assist the lawyers.
Knowledge and familiarity with pharmaceutical or medical device regulatory issues or laws is highly desirable.
Knowledge and familiarity with State Board of Pharmacy licensing is desirable (manufacturing, distribution and pharmacy).
Ability to prioritize workload and meet deadlines in a busy environment with competing priorities.
