Position Details
You will be a member of our Corporate Governance Team reporting directly to the Assistant General Counsel, Corporate & Securities. You will provide support on securities matters, including Securities & Exchange Commission ("SEC") and New York Stock Exchange ("NYSE") reporting and compliance, Board and Executive Officer governance processes, and other areas as may be assigned.
You will work a hybrid schedule requiring 3 days per week at our Lake Forest, IL headquarters.
You Will
Prepare, review, and file various SEC reports, including but not limited to Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reports (Forms 3, 4, and 5).
Ensure timely and accurate submissions of all public filings and NYSE disclosures.
Monitor and ensure compliance with SEC regulations and corporate governance policies.
Maintain organized and accurate records of all SEC filings and related documents.
Conduct legal research related to SEC reporting and compliance issues.
Stay updated on changes in federal securities laws and regulations, advising the team accordingly.
Assist in maintaining the company's compliance calendar and tracking all required filings and deadlines.
Manage electronic and physical document storage systems to ensure easy retrieval and security.
Provide support for internal audits and regulatory examinations.
Support multiple aspects of the Sarbanes-Oxley compliance process, including the quarterly SOX business unit certification process.
Provide support to Company attorneys in connection with special projects as directed by the Office of the Corporate Secretary.
You Have
5 plus years of experience in a global legal department or law firm, with a focus on SEC reporting and compliance.
Paralegal certificate.
Experience working in a corporate legal department or law firm specializing in securities law.
Corporate and securities transactional background, with SEC reporting and public company advisory experience.
Conducted legal research on Lexis-Nexis, Westlaw, on the Internet, and other legal research tools.
Acquired an in-depth understanding of business operations and organizational structure.
