Job Description

Foley & Lardner LLP is seeking an associate with 3-6 years of experience to join our Energy Transition corporate, transactional, project development and finance practices. We are open to filling the position in any of our U.S. office locations. A presence in New York, Texas, or Washington, D.C. is a plus.

Qualified candidates must have broad transactional experience with energy transition projects, particularly within hydrogen; carbon capture, utilization, and storage; renewable fuels (e.g., renewable natural gas, sustainable aviation fuel, etc.); lithium extraction and other energy transition areas, although foundational exposure to more traditional renewable energy projects, such as solar, wind, and battery storage, is welcomed. Our ideal candidate will have experience in representing and advising on matters relating to complex transactional and project development transactions; mergers and acquisitions; land purchase agreements; offtake agreements (e.g., power purchase agreements and the sale/purchase of various energy products); pore space leases; hydrogen purchase agreements; lithium extraction leases; joint venture agreements; partnership agreements; LLC agreements. Experience negotiating and drafting project documents including EPC and BOP contracts, equipment supply/procurement agreements, O&M agreements, and similar agreements required. Candidates possessing meaningful experience in traditional upstream and midstream oil and gas projects who are developing a practice in the energy transition space will be highly considered. Strong drafting and project management skills are preferred.

We have a thriving energy practice with aggressive growth plans in the budding energy transition arena, and we are seeking a well-rounded, dynamic, highly motivated associate who is comfortable working with large and varied multi-disciplinary transactional teams across offices and with direct interaction with both senior attorneys and clients. Positive attitude, strong interpersonal skills, and an exceptional work ethic, coupled with a desire to be part of a fast-paced, growing, and collaborative environment are required.

To be considered, a candidate must hold a JD from an ABA-approved law school and must be in good standing and an active member of the Bar of the jurisdiction(s) in which such candidate is located. Admission to the Bar coinciding with the office of hire will be a condition of employment.
