Position Summary

The Corporate Counsel is primarily responsible for legal support of business operations and providing legal research, advice, contract review and other general legal assistance to various business teams within the company. You will also be working with colleagues and internal clients who are passionate about energy efficiency and making a positive impact on the industry.

Essential Duties and Responsibilities

  • Review, draft and negotiate a wide range of commercial contracts (including MSAs, other types of services agreements, IT, vendor management, supplier agreements, subcontract and teaming agreements, non-disclosure agreements, commercial leases, etc.)
  • Provide timely and comprehensive legal support to business with review of the RFPs requirements and contract terms and conditions
  • Develop, maintain, and improve contract templates and standard forms
  • Work closely with cross-functional teams to anticipate and identify risks and challenges and provide solutions-oriented, practical legal and business advice
  • Collaborate with business on developing effective risk-mitigation strategies
  • Assist with dispute resolution and litigation management
  • Research and keep business informed of all applicable regulatory requirement pertinent to company's operations (trade license requirements, data privacy, marketing laws); conduct related research and provide practical legal guidance to ensure compliance
  • Work with other team members to develop and improve efficiency of legal processes, including evaluation and implementation of legal solutions and workflows
  • Assist with development of legal, compliance, and risk management policies, procedures, and processes
  • Provide training to business teams on legal issues that impact company's operations
  • Manage outside counsel; be prepared to negotiate alternative legal fees and ensure cost-effectiveness of legal spend

Position Requirements

Education and Experience
  • Must have a juris doctorate (J.D.) from an ABA-accredited law school
  • 4-7 years of experience as an associate in a law firm or as in-house counsel with a focus on commercial /technology transactions

Required Skills, Knowledge and Abilities
  • Strong customer service and communication skills; ability to communicate effectively, both verbally and in writing, with interna and external customers
  • Excellent drafting skills; attention to detail; experience drafting and negotiating complex commercial agreements
  • Ability to handle a broad range of legal subject matters and issues and thrive in a fast-paced environment
  • Must be a detail-oriented and organized self-starter who is skilled in multitasking and is able to manage competing priorities and re-prioritize on short notice to meet tight deadlines
  • Ability to work independently; be proactive, responsive, and collegial
  • Proficient in Microsoft Office, specifically Word, Excel and Outlook
Utilities, energy efficiency services, technology industry experience is preferred.

Licenses & Certifications
  • Valid driver's license
  • Admission to a U.S. state bar (preferably Wisconsin, Illinois, North Carolina, South Carolina, but other jurisdictions will be considered)

Travel Requirements
  • Willingness to travel up to 20%
Pay Range: $86,000-$150,000

Physical Demands and Work Environment
  • Required to sit, stand, walk; talk and hear; and ability to touch and handle tools and/or controls
  • Ability to lift up to 10 pounds
  • Noise Level is typically moderate
  • Employee could be exposed to fumes and/or airborne particles and risk of potential shock
