Become a trusted advisor to the bankers, credit officers and other functions in the GCB line of business which supports US and international companies. Client industry specialties within GCB include technology; entertainment; energy companies; domestic banks, specialty finance, mortgage warehouse finance, insurance and other financial institutions; healthcare, retail, real estate and power and utilities.

As a Global Corporate Banking Attorney – Vice President, Assistant General Counsel within our Global Corporate Banking team, you will be part of a team that supports multiple industry segments. You will work with customer-facing bankers, credit officers and other functions with respect to commercial lending transactions as well as deposit, cash management and payments products, and regulatory and compliance issues affecting our line of business. You will also provide advice regarding new developments and products in our industries and markets and their impact to GCB and its clients. You will leverage your legal knowledge to support and advise the business and other teams such as controls and compliance, as well as have the opportunity to work on challenging cross-line of business projects. Job responsibilities

+ Provide transactional support for lending transactions, including analysis and advice on structural and risk issues and review and negotiation of credit and collateral documentation; drafting, review and negotiation of confidentiality agreements, guarantees, collateral assignments of deposit accounts, advised line documents, fee letters, engagement letters, term sheets, and commitment letters; tailoring of standard bank loan documentation forms; indicative term sheets and other proposals; amendments and waivers, etc., and advising deal teams on various credit agreement issues

+ Support and advise the business with respect to treasury management products, and client related issues including regulatory, reputational, operational and other issues which may arise.

+ Escalate issues as appropriate and share potential concerns, issues, and ideas with legal and control functions across the company

+ Prepare and update standard forms and procedures and manage outside counsel relationships

+ Partner with risk, controls, compliance and other colleagues across the firm regarding risks and control issues; provide training to the business

Required qualifications, capabilities, and skills

+ At least 5 years of syndicated lending experience at a law firm and/or in-house legal department at a large bank or other financial services company with demonstrated experience managing increasingly complex matters; including sponsored transactions.

+ The strategic vision to anticipate legal issues for different businesses and business models

+ The ability to prioritize work in a fast-moving environment, manage a large number of issues at one time, and interact with senior and executive management

+ Excellent verbal and written communications skills

+ Licensed to practice law and a member in good standing in TX or IL, as applicable, or otherwise in compliance with the in-house counsel registration rules in such state

Preferred qualifications, capabilities, and skills

+ Experience collaborating on a broad range of business strategies and issues

+ Demonstrated problem solving and project management skills

+ Excellent oral and written communication skills
