This position will provide support to Compliance Department members, primarily the Head of Compliance on regulatory licenses projects, on-going compliance monitoring of regulated activities and other assigned matters. This position reports to the Head of Compliance and will work with compliance, legal and business partners across the company in furtherance of the legal, compliance and line of business objectives.

Essential Job Functions:

Corporate Governance

+ Data collection and application preparation / submission of regulatory licenses for all regulated lines of business.

+ Prepare state registrations / requalifications for all lines of business and submit & track through CT Corporation or any other relevant corporate service provider.

+ Prepare, submit and track license applications and renewals for all US entities of the SitusAMC Group (for Company and Individual MLO level), including DynAMC Solutions LLC, Certainty Title LLC, SAM LLC and Situs Holdings LLC

+ Maintain licensing tracker of all regulatory authorization of the entities of the SitusAMC Group.

+ Ensure timely renewal of all US licenses, via NMLS or directly with the relevant regulator.

+ Liaise with Bond surety provider for annual renewal for relevant US licenses.

+ Ensure timely filing of reports (quarterly, biennial or annual), and notices of changes of directors, qualified individuals or offices, either via NMLS or state regulator’s portal.

+ Prepare monthly reporting of progress on licensing projects and renewals.

+ Maintain the relevant records for all regulatory authorizations, and ensure redundancy of processes.

+ Assist Accounting with tax questions associated with new licenses and renewal of bonds.

+ Organize in coordination with the Legal department the biennial review of existing licensing regime of US servicing activities.

Complaints Handling

+ Assist Head of Compliance with complaints in acknowledging, tracking, and ensuring appropriate handling by the relevant department.

+ Assist Head of Compliance with anonymous reporting matters, in acknowledging, tracking, and ensuring appropriate handling by the relevant department.

+ Provide regular report on outstanding issues and follow-up on remediation actions.

AML Monitoring

+ Assist with the on-going CDD review of new clients, and regular review of existing clients across SitusAMC Group.

+ Update Clarity (or any other relevant system of record) to track reviews.

Vendor Due Diligence

+ Assist with the on-going review of new and existing vendors of SitusAMC.

+ Coordinate with Vendor Management team to report any issues to the Head of Compliance.

Special Projects/Ad Hoc Support

+ Support General Counsel on various research projects, including research, organization and forming policies and procedures.

+ Support enforcement of compliance tracking and obligations for Registered Investment Advisor entities.

+ Support vendor management in due diligence request responses.

+ Support other projects and assignments as may be requested.

Qualifications/ Requirements:

+ Associate degree or paralegal certificate strongly preferred, and/or bachelor’s degree and/or relevant legal experience in finance or technology sectors strongly preferred or an equivalent combination of education and experience

+ Minimum of 6+ years of industry and/or relevant experience, typically with 1+ years in a Senior Associate level role or external equivalent.

+ A minimum of 5 years contracts-related legal experience in a corporate or law firm setting (in-house legal department or procurement role strongly preferred)

+ Demonstrate high academic achievement, as well as strong written and verbal communication skills

+ Skill in the creation, integration, revision and management of contracts and legal documents

+ Excellent teaming, project leadership, and communication skills

+ Superior attention to detail, as well as organizational and multi-tasking skills

+ Strong work ethic and the ability to thrive in a fast-paced environment with a high level of professionalism, discretion, and business judgment

+ Research and analytical skills

+ Strong client service orientation

+ Knowledge of and proficiency with Microsoft Office applications and other internet resources

The annual full time base salary range for this role is

$75,000.00 – $131,000.00

Specific compensation is determined through interviews and a review of relevant education, experience, training, skills, geographic location and alignment with market data. Additionally, certain positions may be eligible to receive a discretionary bonus as determined by bonus program guidelines, position eligibility and SitusAMC Senior Management approval. SitusAMC offers PTO and paid holidays, the terms of which are set forth in the program policies. All full time employees also are eligible to participate in various benefit plans, including medical, dental, vision, life, disability insurance and 401K; in each case in accordance with the terms of the applicable plans.
